Terms of service
Last updated: October 31, 2026
These terms cover consulting and development work performed by Dana Lee Gibson for a client. They are written to be read, not to be survived.
1. Services
I provide Shopify development, technical optimization, technical SEO, analytics, feed work, and architectural rendering. The scope of any project is what is written in the proposal or statement of work agreed before work begins. Anything not written down is a separate conversation.
2. Quotes, fees, and payment
Quotes are valid for 30 days unless stated otherwise. Projects over one week of work are billed in two parts: 50% to begin and 50% on delivery. Hourly and retainer work is invoiced monthly and due within 15 days. Prices exclude any third party costs, such as app subscriptions, fonts, stock images, or plugin licenses, which are the client's responsibility.
3. Working on a live store
Where possible, changes are made on a duplicate theme or a staging environment and reviewed before publishing. The client approves publishing. I am not responsible for losses caused by changes the client makes independently, by apps the client installs, or by platform updates outside my control.
4. What I cannot promise
I do not guarantee search rankings, traffic volume, revenue, or a specific score from any performance tool. Search rankings depend on factors outside any developer's control. What I do commit to is measurable technical improvement and an honest account of what changed.
5. Client responsibilities
The client provides access needed to do the work, including collaborator access to the Shopify store, and confirms they are authorized to grant it. The client reviews deliverables within 10 business days. Work is considered accepted if no issues are raised in that window.
6. Intellectual property
On final payment, the client owns the custom code written for their store and may use it on that store. I retain the right to reuse general techniques, patterns, and knowledge, and to describe the project in general terms. Pre-existing tools, libraries, and frameworks remain under their own licenses. Nothing on this website may be republished without written permission.
7. Confidentiality
Store data, credentials, customer information, and business plans shared during a project stay private. I do not share them with third parties except where required to do the work, such as a platform support request the client approves.
8. Limitation of liability
My total liability for any claim arising from a project is limited to the fees paid for that project. I am not liable for indirect or consequential losses, including lost sales or lost data, except where the law does not allow that limit.
9. Ending the agreement
Either side may end a project with 14 days written notice. The client pays for work completed up to that date. I will hand over completed files and access.
10. Governing law
These terms are governed by the laws of the State of Florida, and disputes are handled in the courts of Lee County, Florida.
11. Contact
Questions about these terms go through the contact form.
This is a plain language starting point, not legal advice. Have a lawyer review it before you rely on it, especially the liability and IP sections.
